TERMS OF USE AND LIABILITY WAIVER

Effective Date: January 1, 2026

These Terms of Use and Liability Waiver (“Terms”) govern your access to and use of the Voyage

State Fitness LLC mobile application, website, and related services (collectively, the “App” or

“Services”). These Terms apply to all users, including free, trial, and paid subscribers. By

accessing, registering for, purchasing, or using the App, you acknowledge that you have read,

understood, and agree to be bound by these Terms.

Controlling Agreement and Order of Precedence

By checking the box indicating acceptance of these Terms of Service, you acknowledge and agree

that these Terms constitute the primary, controlling, and binding agreement between you and

Voyage State Fitness LLC.

These Terms are intended to be supplemental to and read in conjunction with any other terms,

policies, or conditions that may appear within the application, including any embedded or

platform provided terms. However, to the fullest extent permitted by applicable law, in the

event of any conflict, inconsistency, ambiguity, or overlap between these Terms and any

other in app or platform terms, these Terms of Service shall supersede, govern, and control with

priority as to all matters relating to your access to and use of the application and all services,

programs, payments, content, community features, and offerings provided by Voyage State

Fitness LLC.

No embedded, background, or platform generated terms shall be interpreted to limit, modify,

or override these Terms as they relate to Voyage State Fitness LLC’s services unless expressly

agreed to in a separate written agreement signed by Voyage State Fitness LLC.

1. Scope of Services

Voyage State Fitness LLC (“Company”) provides digital fitness programs, physical training

guidance, educational content, mindset tools, community features, and related services. Access

levels, features, and content availability may vary based on user status and may be modified at

the Company’s discretion.

2. Voluntary Participation

Participation in workouts, physical training, nutrition guidance, breathwork, mindset practices,

and self-development activities is voluntary. You assume full responsibility for your participation

and results.

3. Assumption of Risk

Physical activity and lifestyle changes involve inherent risks, including injury, illness,

aggravation of existing conditions, or emotional discomfort. You knowingly and voluntarily

assume all risks associated with use of the Services.

4. Release of Liability and User Responsibility

To the fullest extent permitted by law, you release and hold harmless Voyage State Fitness LLC

and its owners, officers, employees, contractors, affiliates, and service providers from any and all

claims, damages, losses, injuries, or liabilities arising out of or related to your use of the

Services, including misuse, overexertion, failure to follow instructions, or failure to seek

professional advice.

5. No Medical or Professional Advice

All content provided through the Services is for educational and informational purposes only and

does not constitute medical, psychological, nutritional, or professional advice. You are solely

responsible for consulting qualified professionals as appropriate.

6. Accounts and AccessYou are responsible for maintaining the confidentiality of your account credentials and for all

activity occurring under your account. Account sharing is prohibited. The Company reserves the

right to suspend or terminate access for violations of these Terms.

7. Subscriptions, Free Trials, and Automatic Renewal

The Services may include subscription-based access and may offer a fourteen (14) day free trial.

Unless canceled prior to the expiration of the free trial, your subscription will automatically

convert to a paid subscription, and the applicable subscription fee will be charged to the payment

method on file at the end of the trial period without further notice.

By enrolling in a free trial, you expressly authorize Voyage State Fitness LLC to automatically

charge the applicable subscription fee at the conclusion of the trial period. Subscription fees will

continue to be billed on a recurring basis (monthly, annually, or as otherwise disclosed at

checkout) until canceled by you through your account settings or the applicable app-store

platform.

Failure to cancel before the trial period expires constitutes consent to automatic billing. The

Company reserves the right to limit or deny free trials in cases of suspected abuse or misuse.

8. No Refund Policy

All purchases are final. No refunds are provided except where required by law or platform

policy. Charges incurred after a free trial converts to a paid subscription are non-refundable,

including charges resulting from failure to cancel prior to the end of the trial period.

9. Community Conduct

Abusive, disruptive, or inappropriate behavior may result in immediate suspension or

termination of access without refund.

10. Communications, Data Usage, and Carrier Charges

You consent to receive communications from Voyage State Fitness LLC, including emails, in-

app messages, push notifications, and SMS messages related to the Services. You acknowledge

and agree that you are solely responsible for all data usage, messaging, carrier, internet, roaming,

or mobile charges incurred as a result of accessing or using the Services.

Voyage State Fitness LLC is not responsible or liable for any data charges, overage fees, carrier

costs, connectivity issues, or service interruptions, regardless of the device or network used.

11. Intellectual Property

All content, programs, videos, materials, and features within the Services are the intellectual

property of Voyage State Fitness LLC and are licensed to you solely for personal, non-

commercial use. Unauthorized copying, sharing, distribution, or exploitation is prohibited.

12. Disclaimer of WarrantiesThe Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any

kind, express or implied.

13. Limitation of Liability

To the maximum extent permitted by law, the Company’s total liability shall not exceed the

amounts paid by you to the Company in the twelve (12) months preceding the claim. The

Company shall not be liable for any indirect, incidental, consequential, or punitive damages.

14. Privacy Policy

Your use of the Services is governed by the Voyage State Fitness LLC Privacy Policy, which is

incorporated into these Terms by reference.

15. Changes to Terms

The Company may update these Terms from time to time. Continued use of the Services after

updates constitutes acceptance of the revised Terms.

16. Arbitration and Class Action Waiver

All disputes arising out of or relating to these Terms or the Services shall be resolved by binding

arbitration in California under the rules of the American Arbitration Association. You waive any

right to participate in a class action or jury trial.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of

California.

18. Severability and Survival

If any provision of these Terms is deemed unenforceable, the remaining provisions shall remain

in full force and effect. Provisions relating to liability, arbitration, and intellectual property shall

survive termination.

19. Acceptance

By accessing or using the App or Services, you acknowledge that you have read, understood, and

agree to be bound by these Term
